Terms of Service
1. Acceptance
By accessing mnnr.app, requesting a demo, signing an order form, or otherwise using any service provided by MNNR LLC ("mnnr," "we," "us"), you ("Customer") agree to these Terms of Service. These terms apply to B2B customers; mnnr does not provide consumer services.
2. Services
mnnr provides the Governance Layer for Agentic Payments: a policy, compliance, and audit layer that sits above agentic-payment rails (Visa Agentic Ready, Mastercard Agent Suite, Stripe Link, PayPal, Crossmint, AWS AgentCore, and similar). Service scope, SLA, and pricing are specified in your executed order form or the published A50 Emergency Retrofit SKU page at /a50/.
3. Acceptable use
Customer may not use the service to: violate applicable law (including but not limited to the EU AI Act, PSD3/PSR, U.S. sanctions, OFAC, AML/CFT requirements); evade compliance obligations; falsify governance attestations; or interfere with other customers' use of the service.
4. Fees and billing
Fees are stated in your order form or the SKU page in effect on your purchase date. Invoicing and payment are processed via Stripe Inc. Late payments accrue interest at the lesser of 1.5%/month or the maximum permitted by law.
5. Data and privacy
Our data practices are described in the Privacy Policy. EU-region production data is processed in Frankfurt. Cryptographic substrate is described at /crypto/.
6. Intellectual property
mnnr and its licensors own all right, title, and interest in the service, including software, models, governance policies, attestation formats, and documentation. Customer retains ownership of Customer Data and grants mnnr a limited license to process Customer Data solely to provide the service.
7. Confidentiality
Each party will protect the other's Confidential Information using at least the same degree of care it uses for its own confidential information, and no less than reasonable care. Confidential Information may be disclosed only as required by law and with prompt notice to the disclosing party where legally permitted.
8. Warranties and disclaimers
mnnr warrants that the service will perform materially in accordance with its documentation. EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE IS PROVIDED "AS IS" AND mnnr DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of liability
EXCEPT FOR BREACH OF CONFIDENTIALITY, INDEMNIFICATION OBLIGATIONS, OR CUSTOMER'S PAYMENT OBLIGATIONS, NEITHER PARTY'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS WILL EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
10. Term and termination
These Terms remain in effect for the duration of any active order form. Either party may terminate for material breach uncured 30 days after written notice. mnnr may suspend the service immediately for security or legal cause.
11. Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Wyoming, except either party may seek injunctive relief in any court of competent jurisdiction.
12. Changes
We may update these Terms with at least 30 days' notice for material changes. Continued use after the effective date constitutes acceptance.
